§ 01

Acceptance of Terms

By accessing or using the Nexus Capital platform (nexuscapital.com), enrolling in any of our educational programs, or utilizing any service offered by Nexus Capital SAS ("Nexus Capital," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform and may not enroll in or access any Nexus Capital programs or services.

These Terms constitute a legally binding agreement between you and Nexus Capital. We reserve the right to modify these Terms at any time, with notice provided as described in Section 13.

§ 02

Description of Services

Nexus Capital is a vertically integrated quantitative trading infrastructure that provides the following services:

• Institutional Academy: Advanced educational programs in discretionary and algorithmic trading, including the Maestría en Trading Institucional y Order Flow and the Diplomado en Trading Algorítmico y Cuantitativo
• Algorithmic Trading Systems: Proprietary systematic trading systems (Nexus Breakout, Nexus Momentum Core, Nexus Range Matrix, Nexus Quant Edge) made available for educational research and analysis
• CopyTrading Infrastructure: Signal delivery and strategy execution infrastructure for qualified participants
• Capital Development Program: Structured scaling and evaluation programs for qualified traders seeking proprietary capital access
• Research Platform: Quantitative research, system documentation, and analytical tools for educational and research purposes

All services are provided for educational, research, and technological purposes. Nothing in these services constitutes financial advice, investment management, or a solicitation to buy or sell any financial instrument.

§ 03

Financial Disclaimer — Critical

All content, courses, systems, signals, research, and communications published by Nexus Capital — whether on the Platform, via WhatsApp, social media, or any other channel — are provided strictly for educational and informational purposes only. This content does not constitute:

• Personalized investment advice or recommendations
• An offer or solicitation to buy, sell, or hold any financial instrument, security, or derivative
• Portfolio management or discretionary asset management services
• A guarantee of any specific trading outcome or financial result

Trading financial instruments, including but not limited to forex, futures, equities, commodities, and derivatives, involves substantial risk of capital loss. You may lose all or more than your initial investment. You should only trade with capital you can afford to lose entirely.

Before engaging in any trading activity, you should consult with a qualified, licensed financial advisor in your jurisdiction who can evaluate your personal financial situation, investment objectives, risk tolerance, and applicable regulatory requirements.

§ 04

Algorithmic Trading & Backtesting Disclaimer

Backtested and simulated performance results have inherent limitations and do not represent the actual trading results of live accounts. Factors that cause simulated results to differ materially from actual live performance include, but are not limited to:

• Slippage and execution costs: Backtests may not accurately account for the costs of real-time execution, including spreads, commissions, and market impact
• Liquidity constraints: Historical simulations assume unlimited liquidity at historical prices, which may not reflect actual market conditions
• Overfitting and in-sample bias: Systems may be optimized on historical data in ways that reduce their effectiveness on future, unseen data
• Market regime changes: Market structure, volatility regimes, and correlations change over time. A system profitable in one regime may underperform or fail in another
• Technological factors: Actual live trading performance depends on connectivity, platform stability, broker execution quality, and other factors not present in backtests

All Walk-Forward Optimization, Monte Carlo analysis, and out-of-sample validation statistics presented are tools for evaluating robustness — they are not predictive of future live performance and do not eliminate the risk of loss.

Nexus Capital makes no warranty, express or implied, that any trading system, signal, or methodology will be profitable in live trading conditions or produce results similar to any backtested or simulated performance presented on the Platform.

§ 05

Eligibility and Registration

To access Nexus Capital services and programs, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements in your jurisdiction
• Not be prohibited from receiving such services under the laws of your jurisdiction
• Provide accurate, current, and complete information during the enrollment or registration process

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Nexus Capital reserves the right to decline enrollment applications, restrict access to services, or terminate accounts at its sole discretion, including for violations of these Terms or conduct inconsistent with the professional standards of the program.

§ 06

User Conduct

By accessing the Platform and its programs, you agree not to:

• Reproduce, distribute, resell, or commercially exploit any educational content, system documentation, or proprietary research without explicit written authorization from Nexus Capital
• Share, transfer, or sublicense your program access credentials to third parties
• Use program materials to create competing educational products or services
• Misrepresent your identity, qualifications, or trading experience in enrollment applications
• Engage in any conduct that harasses, threatens, or harms other program participants or Nexus Capital personnel
• Attempt to reverse-engineer, decompile, or extract proprietary algorithmic methodologies from the Platform
• Use the Platform for any unlawful purpose or in violation of any applicable regulations

Violation of these conduct standards may result in immediate termination of access without refund and potential legal action.

§ 07

Intellectual Property

All content on the Nexus Capital Platform — including but not limited to course materials, video recordings, written curriculum, trading system documentation, research reports, software code, algorithms, brand identifiers, and visual design — is the exclusive intellectual property of Nexus Capital SAS and is protected by applicable copyright, trademark, and trade secret laws.

Enrollment in a Nexus Capital program grants you a limited, non-exclusive, non-transferable, revocable license to access and use program materials for your personal, non-commercial educational purposes only. This license does not constitute a transfer of ownership and does not grant any rights to sublicense, distribute, or commercially exploit the materials.

Nexus Capital's proprietary trading systems, including Nexus Breakout, Nexus Momentum Core, Nexus Range Matrix, and Nexus Quant Edge, and all associated methodologies, parameters, and code, are trade secrets of Nexus Capital SAS. Unauthorized disclosure, reproduction, or reverse engineering is strictly prohibited and will be pursued legally.

§ 08

Payments and Refunds

Program Fees: Fees for the Maestría, Diplomado, and other programs are communicated during the enrollment process and are due prior to commencement of access to program materials. All fees are stated in the applicable currency (COP or USD) and are exclusive of any applicable taxes.

Payment Processing: Payments are processed through our designated payment providers. Nexus Capital does not store payment card information directly.

Refund Policy: Given the digital and educational nature of our programs:

• Refund requests submitted before the program start date or before accessing any course materials will be honored in full, less any processing fees
• After program materials have been accessed, refunds are evaluated on a case-by-case basis and are not guaranteed
• CopyTrading and signal service fees are non-refundable once the service period has begun
• All refund requests must be submitted in writing via WhatsApp or email to the contact details in Section 14

Nexus Capital reserves the right to modify program pricing at any time. Existing enrolled participants will not be subject to mid-enrollment price increases.

§ 09

CopyTrading and Signal Services

Nexus Capital's CopyTrading and Signal Intelligence services are provided as technology infrastructure and informational tools. By accessing these services, you expressly acknowledge and agree that:

• CopyTrading and signal services are provided for educational and research purposes, not as managed investment services
• You retain full autonomous control over your trading account and any trading decisions made on your behalf are ultimately your responsibility
• Signal performance may vary significantly between participants due to differences in broker execution, account size, timing, and market conditions
• Past signal performance does not guarantee future signal performance
• You assume all risk associated with executing trades based on signals or copied strategies
• Nexus Capital is not responsible for losses resulting from signal delivery delays, platform connectivity issues, broker execution failures, or any other technical or market-related factors

§ 10

Limitation of Liability

To the maximum extent permitted by applicable law, Nexus Capital, its directors, officers, employees, advisors, and affiliated entities shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform or its services
• Any trading losses, investment losses, or financial damages resulting from the use of any educational content, signals, systems, or methodologies provided by Nexus Capital
• Any unauthorized access to or alteration of your account data or communications
• Any interruption, suspension, or termination of the Platform or any services
• Any errors, inaccuracies, or omissions in any content on the Platform

In any event, Nexus Capital's total cumulative liability to you for any claims arising from or relating to these Terms or the services shall not exceed the total amount paid by you to Nexus Capital in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, Nexus Capital's liability is limited to the minimum extent permitted by law.

§ 11

Indemnification

You agree to indemnify, defend, and hold harmless Nexus Capital and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use of the Platform or any services in a manner not authorized by these Terms
• Your violation of any applicable laws or third-party rights
• Any misrepresentation made by you in connection with your use of the Platform

§ 12

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising from or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to the exclusive jurisdiction of the competent courts of the city of Medellín, Antioquia, Colombia.

Prior to initiating any formal legal proceeding, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days following written notice of the dispute.

§ 13

Changes to These Terms

Nexus Capital reserves the right to modify these Terms of Service at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Post the revised Terms on the Platform with at least 14 days' advance notice for material changes
• Where feasible, notify enrolled program participants directly via their registered contact information

Your continued use of the Platform or services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
